By accessing, browsing, or utilizing the services provided by MEXA Agency ("Company", "We", "Us", or "Our"), you ("Client", "User", or "You") explicitly agree to be legally bound by these Terms of Service, along with our Privacy Policy and any applicable Service Level Agreements (SLAs).
MEXA Agency provides high-end digital engineering, bespoke software development, UI/UX design, cloud infrastructure architecture, and enterprise AI solution integration. All work engagements, milestone deliverables, and consultancy services are governed by these Terms unless explicitly superseded by a signed Master Services Agreement (MSA).
All proprietary algorithms, framework foundations, reusable UI component libraries, and pre-existing code artifacts developed by MEXA Agency prior to or outside of specific client engagements remain the exclusive intellectual property of MEXA Agency.
Upon full final payment of all agreed project invoices, MEXA Agency grants the Client a perpetual, worldwide, non-exclusive, royalty-free license to use, modify, and deploy the bespoke codebase created explicitly for the Client project. Third-party open-source components remain subject to their respective open-source licenses.
Users and designated client representatives are solely responsible for maintaining confidentiality regarding their portal credentials, API keys, and administrative authentication tokens. You must immediately notify MEXA Agency upon discovering any unauthorized entry or security breach.
You agree not to engage in any reverse engineering, automated scraping, vulnerability exploitation, denial-of-service (DoS) attacks, or malicious payloads aimed at MEXA infrastructure, client deployments, or associated networks.
For managed infrastructure and hosting retainers, MEXA Agency targets a 99.9% network uptime commitment calculated monthly, excluding scheduled maintenance windows announced at least 48 hours in advance.
Critical production incidents (Severity 1) receive a guaranteed initial response time of under 1 hour. Non-critical support requests and standard feature tickets follow normal business-hour SLA schedules.
Invoices are generated based on milestones or recurring monthly subscription cycles as detailed in your statement of work (SOW). Payment is due within 14 calendar days from invoice issuance unless agreed otherwise.
Due to the customized digital engineering and resource allocation involved, payments for completed project milestones and active subscription billing cycles are non-refundable. Mid-project cancellations require written notice and settlement of all work completed to date.
MEXA Agency warrants that services will be performed in a professional, workmanlike manner adhering to industry standards. However, services are provided "as is" without implied warranties of fitness for a specific commercial outcome.
To the maximum extent permitted by law, MEXA Agency's total aggregate liability arising from any claim under these Terms shall not exceed the total amount paid by the Client to MEXA Agency during the 6-month period preceding the claim event.
Either party may terminate a service contract upon 30 days' written notice if the other party breaches any material term and fails to cure such breach within the notice period.
MEXA Agency reserves the immediate right to suspend or terminate services without notice in cases of overdue invoices exceeding 30 days, legal coercion, or severe security violations originating from Client infrastructure.
These Terms shall be governed by and construed in accordance with the commercial laws of the primary jurisdiction in which MEXA Agency operates, without regard to conflict of law principles.
Any controversy or claim arising out of or relating to these Terms shall first be attempted to be settled through amicable good-faith negotiation, and if unsuccessful, submitted to binding arbitration in accordance with standard international commercial arbitration rules.
Both parties agree to maintain strict confidentiality regarding all information exchanged during project engagements, including trade secrets, technical data, financial information, and source code.
Confidential information may not be shared with any third party without prior written consent, and these confidentiality obligations survive the termination of this agreement for a minimum of three years.
MEXA Agency shall not be liable for any failure or delay in performance caused by circumstances beyond reasonable control, including natural disasters, acts of war, or global communication outages.
MEXA Agency reserves the right to modify these Terms at any time. Your continued use of the services following any such modifications constitutes your explicit acceptance of the revised Terms.
